The Arizona non-disclosure agreement (NDA) is a contract that prevents employees from wrongfully disclosing an employer’s sensitive company information. Sensitive information may include manufacturing techniques, clients’ addresses, financial reports, or other data which holds commercial value to interested parties. After the non-disclosure agreement is signed, the employee will be held legally responsible if they misuse the employer’s company secrets. The agreement will remain effective until the confidential information is no longer considered a trade secret or until the employee is notified otherwise.


Laws – Title 44, Chapter 4 (Uniform Trade Secrets Act)

Misappropriation (§ 44-401(2)) – Improper use of company secrets shall leave the disclosing party liable to pay attorney’s fees (§ 44-404) and damages of up to two (2) times the amount suffered as a result of the violation (§ 44-403).

Trade Secret Definition (§ 44-401(4)) – “Trade secret” means information, including a formula, pattern, compilation, program, device, method, technique or process, that both:

  • (a) Derives independent economic value, actual or potential, from not being generally known to, and not being readily ascertainable by proper means by, other persons who can obtain economic value from its disclosure or use.
  • (b) Is the subject of efforts that are reasonable under the circumstances to maintain its secrecy.
