An independent contractor non-disclosure agreement ensures that any confidential information shared between an independent contractor and their client is kept private. The agreement provides a description of what is considered “confidential information” and imposes a time period within which the parties must maintain secrecy. This period may last several years if necessary or until the knowledge is disseminated to the public by its owner. If one (1) party fails to adhere to the conditions of the agreement, the other may bring an action to court in an attempt to recover damages, likely in the form of a breach of contract or misappropriation of trade secrets.

Independent Contractor Non-Compete Agreement – Does not allow a contractor to work for another related business practice during or after the services are complete.
