A professional consultant agreement is used by any type of professional consultant (see list below) that wishes to enter into an agreement with a client. The services to be performed by the consultant will be detailed in the written contract as well as the compensation amount and payment plan. Both parties would be wise to look over this agreement carefully to make sure the terms and conditions are fair to both parties. The agreement helps establish the type of relationship these two parties are entering into. That is, the consultant is not an employee of the client but an independent contractor. And as such, the client is not responsible for certain taxes, insurance, compensation, and other expenses. This document also protects the client’s confidential and proprietary information and prevents any unfair competition to their business.
